1.Introduction

1.1

This Privacy Policy (this “Policy”) describes how Bitmine Immersion Technologies, Inc., a Delaware corporation (NYSE: BMNR) (“Bitmine,” “we,” “us,” or “our”), collects, uses, discloses, and protects personal information in connection with the website located at www.bitminetech.io and associated subdomains, other than any subdomain or page that posts its own terms or privacy notice (together, the “Site”). This Policy also describes how the Site uses cookies and similar technologies, and serves as the Site’s cookie policy.

1.2

This Policy covers the Site only. Non-custodial staking and related services provided by MAVAN Holdings LLC, MAVAN, Inc., or MAVAN Services Pty Ltd are governed by separate written agreements between the relevant entity and its client, including any privacy terms in or referenced by those agreements.

1.3

The Site is operated from the United States, and content about MAVAN’s staking services is intended only for institutional and professional audiences. This Policy forms part of the Terms of Use.

2.Notice at Collection

2.1

We collect the categories of personal information described in Section 3:

  1. (a)identifiers and professional information you provide, such as your name, business email address, organization, and job title;
  2. (b)the contents of your messages and other commercial information; and
  3. (c)internet and device activity collected automatically, such as IP address, browser data, and pages viewed.

We use this information to operate and secure the Site, respond to inquiries, send updates you request, and comply with law, as described in Section 4. We disclose it to service providers, to affiliates and any successors to all or part of our business, and as otherwise described in Section 5, and we retain it for the periods described in Section 8.

2.2

We do not sell your personal information. We may share personal information for cross-context behavioral advertising, and you can opt out at any time (Section 10.3). We honor the Global Privacy Control signal. For your rights and how to exercise them, see Sections 9 and 10.

3.Information We Collect

3.1

Information you provide. When you submit an inquiry through the Site or by email, we collect your name, business email address, organization, job title, the type of institution you represent, the content of your message (including your staking goals and the approximate size of any stake you are considering), and any other details you choose to provide. When you sign up for updates, we collect your email address, the type of visitor you identify as (for example, investor, analyst, or media), and your communication preferences.

3.2

Information collected automatically. When you use the Site, we automatically collect:

  1. (a)device information, including device type, operating system, and browser type and version;
  2. (b)usage information, including the pages you view, the links you click, and the time and frequency of visits;
  3. (c)log data, including IP address, referring URLs, and access dates and times; and
  4. (d)general location inferred from IP address. We do not collect precise location.
3.3

Cookies and similar technologies. This information is collected through cookies, which are small text files placed on your device. Some are set by us (first-party cookies) and some by our service providers (third-party cookies), and they may last only for your browsing session or persist for a set period. In this Policy, “cookies” includes similar technologies such as pixels, tags, and local storage. The Site uses three categories:

  1. (a)essential cookies, required for the Site to function, including security, load balancing, and recording your cookie choices, which are always active;
  2. (b)analytics cookies, which help us understand how the Site is used and are off by default, set only if you accept them; and
  3. (c)marketing cookies, including cookies set by social media and video platforms whose content is embedded on the Site (such as YouTube videos and X posts), which support advertising and the measurement of campaigns and are off by default, set only if you accept them.
3.4

We do not seek to collect sensitive personal information through the Site, and the Site is not directed to children (Section 11).

4.How We Use Your Information

4.1

We use personal information to:

  1. (a)operate, secure, monitor, and improve the Site;
  2. (b)respond to inquiries and requests;
  3. (c)send updates and other communications you have requested, subject to your right to opt out (Section 9.2);
  4. (d)understand your interests, for example to tailor the updates we send you;
  5. (e)analyze how the Site is used;
  6. (f)detect, prevent, and respond to fraud, security incidents, and misuse; and
  7. (g)comply with legal and regulatory obligations and enforce our agreements.

5.How We Disclose Your Information

5.1

We do not sell personal information. We disclose it only in the circumstances described in this Section 5.

5.2

Service providers. We provide personal information to providers that support the Site, such as hosting and cloud infrastructure, analytics, customer relationship management, security, and email and communications providers, acting on our instructions under appropriate contractual protections.

5.3

Affiliates. We share personal information with affiliates within the Bitmine group, on a need-to-know basis, for the purposes described in Section 4.

5.4

Legal and safety. We may disclose personal information where required by law, regulation, listing obligation, or legal process, to respond to government or regulatory requests, to protect the rights, safety, or property of any person, or to investigate fraud or security issues.

5.5

Business transfers. If we are involved in a merger, acquisition, financing, reorganization, or sale of assets, personal information may be transferred. We will provide notice before your personal information becomes subject to a different privacy policy.

5.6

We may share personal information for cross-context behavioral advertising. You can opt out at any time as described in Section 10.3. If our practices change, we will update this Policy and provide the notices and opt-out mechanisms required by law before doing so.

6.Cookie Choices and Controls

6.1

On your first visit, the Site presents a cookie banner with three actions:

  1. (a)Accept All;
  2. (b)Reject Non-Essential; and
  3. (c)Manage Preferences.
6.2

Your choice is stored and respected on return visits. You can change it at any time through the Cookie Preferences link in the Site footer, and you can also block or delete cookies through your browser settings. Blocking essential cookies may affect Site functionality.

6.3

We may use Vercel on our Site to help us understand how you use our Site. You can learn about Vercel’s privacy practices here.

6.4

We may use cookies or pixels from social media platforms to help us understand how you use our Site. For example, these may include cookies or pixels from YouTube, Meta, Instagram, LinkedIn, X, and TikTok. For more information about how to control tracking from these platforms, please click the provided links.

7.Data Security

7.1

We maintain technical and organizational measures designed to protect personal information, appropriate to its nature and sensitivity, including encryption of data in transit, secure authentication, and access controls.

7.2

Within the Bitmine group, MAVAN, Inc. and MAVAN Services Pty Ltd maintain ISO 27001, SOC 2 Type 2, and NORS certifications for their staking infrastructure and operations. Those certifications relate to those entities and their services, and the Site itself is not a certified system.

7.3

No method of transmission over the Internet or of electronic storage is completely secure. While we use reasonable means to safeguard personal information under our control, we cannot guarantee absolute security, and you transmit information to the Site at your own risk.

8.Data Retention

8.1

We retain personal information for as long as necessary for the purposes described in this Policy, to comply with legal obligations, to resolve disputes, and to enforce our agreements.

9.Your Rights and Choices

9.1

Depending on where you live, you may have rights to access, correct, or delete personal information we hold about you, or to receive a portable copy of it. You may exercise these rights by emailing privacy@bitminetech.io. We will verify your request before acting on it, you may use an authorized agent, and if we decline a request you may appeal by replying to our decision. We will respond within the period required by applicable law.

9.2

You can opt out of marketing emails at any time by using the unsubscribe link in any marketing email, consistent with the CAN-SPAM Act, or by emailing privacy@bitminetech.io. We honor opt-out requests promptly. You cannot opt out of communications responding to a request you have made or other transactional messages.

10.Your State Privacy Rights

10.1

Depending on your state of residence, you may have the right to:

  1. (a)know and access the personal information we have collected about you;
  2. (b)correct inaccurate personal information;
  3. (c)delete your personal information;
  4. (d)obtain a portable copy of your personal information;
  5. (e)opt out of the sale of personal information, of sharing for cross-context behavioral advertising, and of certain profiling;
  6. (f)limit the use and disclosure of sensitive personal information, where applicable; and
  7. (g)be free from discrimination for exercising your rights.
10.2

We do not sell your personal information. We may share personal information for cross-context behavioral advertising, and you can opt out at any time.

10.3

To opt out of sharing for cross-context behavioral advertising, use the “Do Not Sell or Share My Personal Information” link in the Site footer, or email privacy@bitminetech.io. We honor the Global Privacy Control signal and treat it as a valid opt-out for the browser or device that sends it.

10.4

To exercise any other right, contact privacy@bitminetech.io. We will verify your request before acting on it, you may use an authorized agent, and if we decline a request you may appeal by replying to our decision.

11.Children’s Privacy

11.1

The Site is not intended for anyone under 18 years of age, and we do not knowingly collect personal information from anyone under 18. If you believe we have collected such information, contact privacy@bitminetech.io and we will delete it.

12.Third-Party Sites and Links

12.1

The Site contains links to third-party websites and services. We do not control them and are not responsible for their privacy practices, and their own privacy policies govern any personal information you provide to them.

13.International Visitors

13.1

The Site is hosted and administered in the United States. If you access the Site from outside the United States, your information will be transferred to and processed in the United States, and it may also be processed in Australia and other countries where our affiliates or service providers operate. Privacy laws in those countries may differ from those of your jurisdiction.

14.Changes to This Policy

14.1

We may update this Policy from time to time. We will post the updated Policy on the Site, update the effective date and, for material changes, provide additional notice by reasonable means. Your continued use of the Site after a change becomes effective constitutes acknowledgment of the revised Policy.

16.1

Your use of the Site does not, by itself, substitute for consents obtained at the point of collection.
